This is a fragmentation game, not a 0-1 displacement game. Microsoft’s fortress—over 90% of the Fortune 500 on M365 Copilot per Satya Nadella’s FY25 Q1 earnings call [1]—is intact at the suite level, but AI-native insurgents are capturing specific surfaces. Gamma hit $100M ARR profitably with a Series B at $2.1B valuation in November 2025 [2], replacing PowerPoint for companies producing 50+ decks a day. Notion told staff it crossed $600M ARR with 100M users at an $11B valuation ahead of a potential IPO [3]. The Grammarly-Coda merger in December 2024 created a $13B entity attempting to stitch together an AI-native suite [4]. The real winners are owning vertical surfaces rather than displacing the suite.
Antitrust enforcement is reshaping the rules in Europe far more than the US. The September 2025 EU acceptance of Microsoft’s seven-year Teams-unbundling commitments [5], the DMA’s Article 6(7) interoperability mandate [6], the November 2025 cloud-services market investigations into Azure [7], and Microsoft’s ~€20M July 2024 settlement with CISPE [8] all constrain Microsoft’s classic bundling moats inside the EEA. In the US, Lina Khan’s January 2025 exit and Andrew Ferguson’s softer line on platform self-preferencing have lowered near-term federal risk [9], though the FTC’s January 2025 staff report on AI partnerships left the Microsoft-OpenAI theory of harm on the record [10].
Where incumbents are structurally weak: Google’s 19-year failure to displace Office in the enterprise reflects an unfixable culture problem, not a product problem. Adobe’s $1B Figma reverse termination fee in December 2023 [11] and the CMA/EC blockade show lateral M&A is now closed. Microsoft Loop has not become the Notion-killer despite full M365 bundling, suggesting file-format and IT lock-in no longer guarantee surface-level wins once AI commoditizes formats.
Microsoft reports over 90% of the Fortune 500 use M365 Copilot and over 150M users across Copilot products [1]. However, third-party estimates put paid M365 Copilot seats at approximately 15M—only 3.3% of the M365 base [12]. Recon Analytics’ January 2026 survey of over 150,000 U.S. respondents found Microsoft Copilot’s in-workplace conversion rate at 35.8% versus ChatGPT’s 83.1% [12].
Microsoft cut prices—introducing a December 2025 Business tier at $21/user/month versus the original $30 [13]—and began auto-installing Copilot into Word, Excel, Outlook, and Teams in October 2025. Both are signs of forced demand creation rather than organic pull.
Notion: Per Forbes, Notion told staff it is doing a $300M tender offer at an $11B valuation after passing $600M in ARR, with half coming from AI products [3]. Sacra separately estimated $500M ARR as of September 2025 [14]. The company has approximately 100M users and is used by over 50% of the Fortune 500 in some capacity, including Amazon, Nike, Uber, Pixar, and Toyota [14].
Gamma: The company reached $100M ARR profitably with 70M users and only 50 employees [2]. The $2.1B Series B valuation led by Andreessen Horowitz in November 2025 reflects a 21x revenue multiple on a profitable business [2]. Per Gamma’s press release, Another Company (described as Latin America’s largest independent PR and marketing agency) stated they “retired PowerPoint” and “produce 50+ brand-consistent decks a day...saving at least 50,000 hours a year” [2].
Grammarly acquired Coda on December 17, 2024 in an all-stock deal at each company’s most recent post-money valuations—Coda at $1.4B and Grammarly at $13B [4]. Shishir Mehrotra, former YouTube CPO/CTO and Coda founder, became Grammarly’s CEO [4]. The combined entity targets the “AI-native productivity suite” with Grammarly’s 40M users crossed with Coda’s docs/AI capability.
The European Commission accepted Microsoft’s commitments on September 11–12, 2025 to unbundle Teams from M365 for seven years [5], following the June 25, 2024 Statement of Objections that exposed Microsoft to fines of up to 10% of $211B global revenue [15].
Microsoft must now: (a) offer M365 suites without Teams at reduced prices, (b) allow long-term-license customers to switch, (c) provide interoperability between Teams competitors and key M365 functionality, and (d) allow data export out of Teams [5]. Salesforce CLO Sebastian Niles told CNBC the outcome confirms Microsoft’s bundling “harmed businesses, denied customers fair choice, and resulted in many years of lost competition” [5].
The DMA’s Article 6(7) interoperability mandate now binds Microsoft globally for designated core platform services [6]. The EC opened market investigations in November 2025 into Azure (and AWS) as potential cloud gatekeepers, with decisions due by November 2026 [7].
Copilot APIs sit inside graph.microsoft.com namespaces; they respect Microsoft Entra/Purview controls, but third-party developers must build Copilot Connectors to push their data into Graph, while Microsoft’s own products consume Graph data with first-class access [16]. The reverse path—third-party AI products reasoning over M365 data with parity to Copilot—is not available.
A 4 MB item parse limit, frequent 429 throttling for non-Microsoft developers, and authentication friction are documented developer pain points [17]. This is the textbook “platform self-preferencing” pattern that Article 6 of the DMA targets.
Document Cloud ARR reached $3.31B in FY24 Q4 with full-year segment growth of 18% [18]. AI Assistant for Acrobat launched February 2024 as strategic defense against the commoditization of PDF parsing by general LLMs.
But Adobe’s failed $20B Figma acquisition—announced September 15, 2022 and terminated December 17, 2023 with Adobe paying a $1B reverse termination fee [11]—showed regulators will block lateral expansion. The CMA’s November 28, 2023 provisional findings found Figma had approximately 80% of professional product design and that Adobe had “abandoned development” of competing product-design software “as a consequence of the merger” [19].
Figma’s July 31, 2025 IPO priced at an implied ~$19.3B valuation on FY24 revenue of $749M [20], still below Adobe’s original $20B offer, vindicating the antitrust theory.
NotebookLM and NotebookLM Plus became Workspace core services on February 5, 2025 [21]. The Enterprise edition integrates with VPC Service Controls and IAM. Google Workspace reports users “save an average of 105 minutes per week” and “75% of daily Gemini for Workspace users say it improves the quality of their work” [22].
However, Google Workspace still trails M365 in commercial enterprise seats despite leading global suite share by user count at approximately 44% [23]—reflecting persistent enterprise-sales and trust deficits from product discontinuation history and pricing instability.
Box: FY25 revenue of $1.09B with Q3 FY26 revenue of $301.1M at 9% growth and RPO up 18% [24]. Enterprise Advanced AI tier driving expansion. CEO Aaron Levie stated enterprises want “one platform that brings together security, compliance, collaboration and AI...a single agentic platform for managing and working with their unstructured data” [24].
Dropbox: Dash relaunched Fall 2025 with MCP server support compatible with Claude, Cursor, and Goose [25]. Acquisitions of Promoted.ai and Mobius Labs enable multimodal search [25]. Strategic pivot from storage to “AI teammate” for cross-app search, explicitly competing against Microsoft’s first-party Graph reach.
Launched April 11, 2024 at Momentum24, Intelligent Agreement Management extends DocuSign from e-signature into the contract lifecycle category via Maestro (workflow), Navigator (AI repository), and App Center (integrations) [26]. AI-Assisted Review launched November 2024 runs inside Microsoft Word for CLM users [27]. Whether the “Intelligent Agreement Management” category establishes itself remains open.
January 25, 2024 6(b) orders went to Microsoft/OpenAI, Amazon/Anthropic, and Google/Anthropic [28]. The January 2025 staff report—passed 5-0 by the Commission—found partnerships “may impact access to certain inputs, such as computing resources and engineering talent,” “may increase switching costs,” and grant cloud service providers “access to sensitive technical and business information that may be unavailable to others” [10].
Under Andrew Ferguson (Trump-appointed chair, January 2025), the agency’s posture toward Big Tech platform self-preferencing has cooled [9], though Joint Labor Task Force enforcement and selective merger blocking continue.
Cloud Productivity Suite: Microsoft 365 holds approximately 30% global suite share by user count but 70%+ of paid enterprise seats with 345M paid subscribers. Google Workspace leads by user count at approximately 44% but is concentrated in consumer/SMB [23]. M365 commercial cloud revenue grew 18% in Q4 FY25 [1]. Insurgents—Notion at $600M ARR [3] and Grammarly+Coda at $13B combined [4]—are winning bottom-up adoption while the suite remains intact at the IT-procurement layer.
AI Assistant in Suite: M365 Copilot charges $30/user/month with approximately 15M paid seats and a new $21 SMB tier from December 2025 [12][13]. Over 90% of the Fortune 500 have “adopted” it, but Recon Analytics shows only 35.8% workplace conversion versus ChatGPT’s 83.1% [12]. Microsoft auto-installing since October 2025 indicates engagement is the real bottleneck.
Presentations: PowerPoint and Google Slides add AI features defensively. Gamma at $100M ARR, $2.1B valuation, 70M users, and profitable with 50 employees [2] is winning on AI-native UX.
Docs/Wiki: Word, SharePoint, Google Docs, and Confluence are incumbents. M365 Loop launched but is consistently rated as “incomplete” without Notion-style relational databases [29]. Notion at 100M users with AI Agents launched September 2025 [14] is winning in startup and scale-up segments.
PDF/Agreements: Adobe Acrobat at $3.31B ARR [18] and DocuSign eSignature are incumbents. Adobe AI Assistant launched February 2024; DocuSign IAM launched April 2024 [26]. NotebookLM, Box AI, and Dropbox Dash create commoditization risk for parsing; agreement workflow is becoming the moat.
Content Management: SharePoint, Box at $1.09B FY25 [24], and Dropbox are all adding AI agents. Consolidation is likely.
Six gatekeepers were designated September 6, 2023: Alphabet, Amazon, Apple, ByteDance, Meta, and Microsoft [30]. Microsoft’s designated services include Windows and LinkedIn; Outlook.com, Bing, Edge, and Microsoft Advertising were rebutted successfully [30]. Apple’s iPadOS was designated April 29, 2024 via market investigation [30].
Article 6(7) interoperability mandate requires gatekeepers to allow “effective interoperability with, and access for the purposes of interoperability to, the same hardware and software features” they use internally [6].
The DMA First Review in mid-2025 found the DMA “fit for purpose” but declined to extend Article 7 to social-network interoperability or add generative AI services as a core platform service [31]. November 2025: Commission opened three market investigations including whether Azure and AWS should be designated as gatekeepers for cloud services; decisions are due by November 2026 [7].
Slack filed its complaint in 2020; the EC opened formal investigation July 2023; Statement of Objections came June 25, 2024 [15]. Microsoft commitments were accepted September 11–12, 2025, binding for seven years [5]. Microsoft must offer M365 without Teams at reduced prices, allow license switching, ensure interoperability, and allow data export.
CISPE filed its complaint November 9, 2022 over Microsoft’s October 2019/2022 licensing terms—specifically BYOL restrictions on Windows Server, SQL Server, and Office on non-Azure clouds [32]. The complaint alleged a 32-user deployment requires 10× more VMs on rival clouds at 2.5× Microsoft’s Azure cost [32].
Settled July 10–11, 2024: approximately €20M payment from Microsoft to CISPE, commitment to deliver Azure Stack HCI for Hosters within nine months with multi-session Windows 11 VDI at Azure-parity pricing, and creation of an independent European Cloud Observatory [8]. AWS, Google Cloud, and AliCloud were explicitly excluded from the benefits [8]. AWS spokesperson Alia Ilyas called the deal “limited concessions for some CISPE members” [8]. Civo CEO Mark Boost called it “a global, powerful company paying for the silence of a trade body” [8].
Google Cloud filed a parallel complaint September 25, 2024 alleging Microsoft charges up to 4× more for Windows Server on non-Azure clouds [33]. Google withdrew the complaint on November 28, 2025 after the EC launched its own DMA market investigations [34].
January 25, 2024: 6(b) orders to Microsoft/OpenAI, Amazon/Anthropic, and Google/Anthropic [28]. Khan stated the FTC was “scrutinizing whether these ties enable dominant firms to exert undue influence or gain privileged access in ways that could undermine fair competition” [28].
Lina Khan exited as chair around January 20, 2025; Andrew Ferguson assumed the chair [9]. Ferguson has continued some Khan initiatives but is markedly less aggressive on platform self-preferencing theories [9]. Net effect: federal antitrust risk for Microsoft Graph self-preferencing dropped materially in the US through at least 2028.
Microsoft: Fortress is intact at the suite and IT-procurement layer but innovation velocity at the surface level lags insurgents. Loop is the clearest example—consistently rated incomplete versus Notion [29]. Microsoft’s organizational culture has not produced a single category-defining AI-native productivity surface in 2023–2026; instead, it has bolted Copilot into existing apps.
Google: Engineering-led culture, weak enterprise field sales, persistent trust deficit from product discontinuations. NotebookLM is a structural exception because it was incubated in Google Labs as a research tool [21]. The pattern suggests Google can win in categories without legacy enterprise expectations—research, learning, citations—but cannot displace categories where Microsoft owns the buyer relationship.
Adobe: Single-format dependency on PDF plus regulatory blockade on lateral M&A [11][19]. Document Cloud leadership ships in the PDF lane but has not produced a credible response to Notion, Gamma, or Coda. The data argues Adobe should stay in creative and marketing tools, not productivity.
This is a fragmentation game with M365 as a resilient core.
The most successful insurgents—Notion and Gamma—coexist with M365; they are bought as departmental tools, not enterprise replacements [14][2]. Customer segments that are truly switchable include startups, scale-ups, design-led companies, education, and individual creators. Companies with approximately $1–10M revenue show the highest Notion and Gamma adoption.
Customer segments that are locked include regulated industries (healthcare, finance, public sector, defense) and large enterprises with deep AD/Entra integration and over 5,000 seats.
Generative AI is reducing format lock-in. When any model can read and write .docx, .xlsx, and .pptx with high fidelity, the .docx format is no longer the defensive moat it was in 2010. This is why Gamma’s “we retired PowerPoint” customer claim is credible: output can still be exported to .pptx if needed [2].
What true displacement would require: A regulatory event—the EU mandating M365 data portability via DMA Articles 6(9)–(10)—combined with AI agents that can fully translate workflows. Neither is sufficient alone; together they could trigger meaningful churn in the 2026–2028 window.
Stage 1 (0–12 months): Concentrate on surfaces where AI-native UX is non-negotiable and the incumbent’s response is provably weak. Highest-conviction zones: presentations (Gamma’s lead is real; second-place positioning in regulated enterprise verticals remains open), knowledge management (NotebookLM-style source-grounded research with enterprise governance), and agreement workflows beyond e-signature (DocuSign IAM is the early mover but vertical-specific plays are unbuilt).
Stage 2 (12–36 months): Layer enterprise governance—SSO, SAML, audit logs, EU Data Boundary, HIPAA/FedRAMP—as soon as ARR crosses $20M. This is where Tome failed and Notion succeeded.
Stage 3 (36+ months): Bet on DMA Article 6(7) interoperability mandates forcing Microsoft Graph to expose more data to third parties on parity terms. This is the most likely catalyst for true displacement in 2027–2028.
If M365 Copilot paid seats cross 50M (currently approximately 15M) with engagement above 60% (currently 35.8%), Microsoft’s fortress thickens and insurgents must accept a coexistence ceiling.
If the EC formally designates Microsoft as a cloud-services gatekeeper under the DMA (decision due November 2026), expect forced Graph and Azure data-access changes that materially favor insurgents.
If a major insurgent (Notion, Gamma) is acquired by Google, Salesforce, or Oracle, the fragmentation thesis weakens and the suite-consolidation thesis strengthens.
If Ferguson’s FTC drops the Microsoft-OpenAI line of inquiry entirely, US enforcement risk to Microsoft Graph self-preferencing effectively ends through 2028.
Microsoft: Acquire or invest in Gamma or a Notion competitor; integrate at the surface layer without forcing into Loop. Ship a credible Loop alternative or kill Loop and rebuild from Notion-style first principles. Get ahead of DMA Article 6(7) by voluntarily exposing Graph APIs to competitors at parity terms.
Google: Lean fully into NotebookLM as the wedge product into M365 shops; stop trying to sell Workspace as a replacement and start selling it as a complement, billed to a different budget (research/AI, not productivity).
Adobe: Stay in the PDF lane. The Figma blockade proved lateral expansion via M&A is dead. Build vertical-specific document intelligence (legal, healthcare, financial services) and partner with—not compete against—Notion, Coda, and Grammarly for general productivity.
Notion ARR figures come from Forbes (Anna Tong, December 15, 2025, citing a staff memo) and third-party trackers (Sacra, Latka); Notion is private and does not disclose audited financials [3][14]. Gamma’s $100M ARR is founder-reported and consistent with official press releases [2].
Microsoft Copilot adoption figures conflict by design: Microsoft’s “90%+ Fortune 500 adopted” includes any seat; approximately 15M paid seats and 35.8% engagement reflect the gap between procurement and use [1][12].
DMA interoperability outcomes for productivity software are still emerging. The November 2025 cloud market investigation outcomes are due May 2027 [7].
The shift from Lina Khan’s FTC to Andrew Ferguson’s FTC is recent enough that the durability of Khan-era theories of harm in court is untested for AI partnerships [9][10].
Adobe’s $1B Figma termination fee is documented in Adobe’s SEC Form 8-K and the joint December 18, 2023 press release [11].
