Jana Partners, which holds roughly 9% of Six Flags, pushed the theme park operator to explore a sale and replace its board chair, arguing the company is worth more to a private buyer than as a struggling public entity. Six Flags responded by naming Richard Haddrill as executive chairman, replacing Marilyn Spiegel. Jana called the leadership change “an important step in the right direction” but has not withdrawn its push for a full strategic review.

Diligence Capital Management has taken its campaign against EagleBank public, pushing to replace three board members with turnaround specialists after the bank posted consecutive quarterly losses of $69.8 million and $67.5 million tied to its commercial real estate portfolio. Diligence nominated Keith Maio (former CRO at Zions Bancorporation), David Hooston, and a third candidate with bank restructuring experience. Eagle responded by disregarding Diligence’s proposals and nominating its own candidate, Trevor Montano, ahead of the May 14 shareholder meeting.

Endeavor Investor Group, which holds roughly 48% of Mawson Infrastructure Group, filed preliminary consent materials on March 16 to remove all three current directors. Endeavor argues that governance failures and poor capital allocation have destroyed nearly 95% of shareholder value since 2021, with market cap falling from approximately $450 million to roughly $15 million. Mawson responded by adopting a stockholder rights plan, which Endeavor has publicly challenged as entrenchment.

James C. Mastandrea, Whitestone REIT’s former chairman and CEO, nominated six independent trustees under the SEC’s universal proxy rules to replace the entire board at the 2026 annual meeting. Mastandrea, who holds over 1.1 million shares, argues the REIT has delivered subpar returns, trades at a persistent NAV discount, and has failed to scale through quality acquisitions. He is pushing the board to hire an independent investment bank to evaluate strategic alternatives including a sale or liquidation. Mastandrea’s campaign follows a prior activist push by Erez Asset Management, which sought board changes at Whitestone in 2024, suggesting persistent unresolved governance issues at the REIT.

Altai Capital Management, which owns roughly 5% of OraSure Technologies, sent a public letter on March 17 calling for a full strategic review including a potential sale at what it estimates could be double the current share price. Altai nominated Rishi Bajaj and industry executive John Bertrand to the board, citing a 60% decline in shareholder value since 2023 while CEO compensation totaled approximately $15 million. Shares have risen about 18% since Altai formally disclosed its nominees in January.
