To all Alliance Members, Partners, and Community Stakeholders,

Today, June 30, 2025, I filed an Emergency Petition for Temporary Restraining Protection (TRP) and Affidavit with the Dakota County Civil Court, Hastings, MN, under Envelope Number: 34650771. This filing demands immediate legal action to protect the Alliance from unlawful governance practices, restore proper quorum, and secure the organization’s future in line with the promises I made to every member in 2020 — that this mission would always stand on integrity, transparency, and truth.

Over the past four years, the Alliance has been deeply damaged by hidden actions, undisclosed resignations, and legal mismanagement:

  • Multiple resignations — including the Parliamentarian’s passing, the resignations of the Chairman Emeritus, all Immediate Past Presidents, general Directors, and trusted senior leadership — caused the Board to lose mandatory quorum required by our bylaws and by Minnesota Nonprofit Statute 317A.

  • Key seats were never replaced, leaving the Board with no legal authority to install new officers or bind the Alliance to contracts.

  • 1099 contractors were knowingly used as officers and fiduciaries — including acting as CEO and President (depending on the definition in legal docs) — which directly violates IRS rules for 501(c)(6) trade associations and Minnesota nonprofit governance laws.

  • Attempts to cover this up were made by withholding Board actions, manipulating who had access to communications, and retaliating against whistleblowers. I personally documented and reported these ethical breaches for over nine months, and was ignored or stonewalled each time.

  • A police report filed by the acting President (Justin Ziegler) was immediately closed as baseless once my evidence was shared with the investigating officer. The official Apple Valley Police Department case is AV25003569 — fully closed.

  • An involuntary dissolution notice was triggered this year due to these governance breakdowns — the Alliance risks losing its nonprofit status entirely if no lawful action is taken.

This Emergency Petition includes evidence of:

  • Violations of MN Nonprofit Corporation Statutes 317A.103 & 317A.227 (quorum requirements and director actions).

  • IRS regulations forbidding 1099 independent contractors from acting as officers or fiduciaries for the same nonprofit that pays them.

  • Breaches of the Alliance’s own Bylaws and Code of Ethics — including intimidation, concealment of resignations, retaliation, and misuse of privileged Board authority.

  • Breaches of fiduciary duties by officers who failed to disclose significant financial history (civil bankruptcy, multiple liens) while posing as valid stewards of the Alliance’s finances.

  • Failure to lawfully transition the CEO role: I never filed a formal resignation, nor did the Board ever vote to remove my directorship. By legal definition, my seat still stands until replaced or removed lawfully — which cannot happen without a valid quorum.

This Petition is supported by:

  • 47 exhibits: Board minutes, original and amended Bylaws, contracts, engagement letters, resignation notices, ethics violation filings, communications, texts, call transcripts and Zoom recordings, CEO updates, signed 1099 agreements, the original State incorporation, and more.

  • Direct text message records and emails showing the real-time documentation of actions taken by myself and other Directors to warn leadership — ignored at every step.

  • An emergency timeline that maps the entire collapse of quorum and the mismanagement that followed.

  • The final notarized Affidavit filed with Dakota County Civil Court today.

I want to make this clear:
I do not wish to return to the Alliance in any full-time capacity.
I do not seek payment, severance, or any benefit. I do not want a seat on the Board. And frankly, with the ongoing smear campaign launched by the Alliance leadership, I have no desire to even direct the restoration process; a third party or the AG’s office can tend to that.

My only goal is to honor my word to every LGBTQ+ and allied member who trusted this mission — to protect it from collapse or forced dissolution, and to ensure it remains a safe, credible, and legally compliant national voice for LGBTQ+ housing equality.

I understand senior leadership may try to frighten you by claiming this will “destroy the Alliance.” I understand comments are being made publicly that I’m “crazy” and have an agenda as an enraged ex-employee. Lol.
That is a lie. The LGBTQ+ community is stronger than any one nonprofit. If we fix this correctly, the Alliance will emerge healthier and stronger. If we do not, it will collapse anyway — silently, behind closed doors — and that is something I refuse to allow.

Since I stepped away on approved leave, I have been asked to help repeatedly — with no formal resignation processed, no signed exit, and no proper transition executed. Instead, I was left dangling while actions were taken in my name without my consent.

After nearly five years building this from nothing, the actions of a handful of people do not erase the good that thousands of members and partners created. The Alliance does not belong to any single leader or faction — it belongs to all of you.

I am sorry that it has come to this legal step. I am even more sorry that the Board did not listen when this could have been resolved privately. But I will not be complicit in cover-ups, illegal governance, or retaliation.

I stand with members — not with the dysfunction.

  • The Dakota County Civil Court will review the filing (Envelope #34650771) and determine next steps for injunction, oversight, or third-party receivership.

  • No valid Board action can occur under Minnesota law while the Alliance is out of quorum.

  • If you want to verify this, copies of all filings will be made available by request once the Court reviews them.

This is not revenge — this is accountability.
This is not an attack — this is protection.
This is not about me — it is about you.

I built this Alliance to protect our community, and I am still protecting it, even as I prepare to leave this country with my husband for our family’s safety and future.
