The Hook. Lineage manufactures fully differentiated human cells from an immortal pluripotent line and surgically implants them where the patient’s own cells have died — and in the one indication with three-year human data, the transplanted retinal pigment epithelial (RPE) cells didn’t just slow the disease, they gave patients letters of vision back.
The Bull Case. Market cap is $269M against $50.8M in cash and marketable securities — roughly $218M for the assets. That buys a lead asset developed and funded entirely by Roche/Genentech, with $615M in remaining milestones plus tiered double-digit royalties; OPC1, a spinal cord injury program with 30 patients dosed and 14 years of safety follow-up; and a manufacturing platform (AlloSCOPE) that spun out COR1 and ILT1 inside twelve months. The market is proven: Syfovre alone did $586.9M in U.S. net revenue in 2025 without ever improving anyone’s vision.
The Bear Case. Lineage does not control its lead asset. Roche has sole discretion and may terminate “at any time with advanced written notice,” and Lineage’s own 10-K devotes a pointed paragraph to Roche’s history of “pipeline pruning”. No GAlette readout date has been guided by anyone. The economics net down brutally: the Israel Innovation Authority takes ~24.1% of every Roche dollar up to a $97.2M cap and Hadasit takes up to 21.5% of milestones and up to 50% of royalties, so a headline “double-digit” royalty nets to roughly 4% of net sales today. Non-formulation OpRegen patents carry expirations “ranging from 2028 to 2042,” and Roche’s payments are expressly conditioned on IP covering OpRegen existing when payment comes due. The efficacy signal everyone quotes rests on n=5, defined post hoc by surgical outcome. All cGMP manufacturing sits in one Jerusalem building during an active regional war. G&A has exceeded R&D in every reported period. And 35.2M warrants plus $55.4M of ATM capacity represent ~34% potential dilution at current prices against 252.9M shares outstanding.
